License Agreement

This License Agreement (“Agreement”) is a legal contract between you (“Licensee”) and OKDOTSTUDIO INC (“Licensor”), governing your use of design templates, components, UI kits, and related digital assets (“Resources”) made available through https://vx.studio (“Site”).

By accessing, downloading, or using any Resources from the Site, you acknowledge that you have read, understood, and agree to be bound by the terms of this Agreement. If you do not accept these terms, you are not permitted to use the Resources.

1. License Grant

OKDOTSTUDIO INC grants you a limited, non-exclusive, non-transferable license to use the Resources for personal, client, or commercial projects, subject to the terms outlined herein.

2. Permitted Use

You are allowed to:

  • Use the Resources in unlimited personal, commercial, or client-facing projects.
  • Modify, adapt, or customize the Resources to suit your needs.
  • Integrate the Resources into websites, web apps, digital products, or client deliverables — as long as the Resources are not redistributed in original or extractable form.

3. Prohibited Use

You are not allowed to:

  • Resell, sublicense, share, or redistribute the Resources — either in original or modified form — as standalone files or in any asset bundle, design system, or product for resale.
  • Use the Resources to create derivative templates, themes, kits, or digital products intended for resale or distribution on marketplaces or similar platforms.
  • Host, archive, or store the Resources outside of your active license or subscription to enable future unauthorized use.
  • Use the Resources in any manner that violates applicable laws, intellectual property rights, or third-party terms.
  • Engage in excessive or automated downloading, scraping, or misuse of the platform’s infrastructure or APIs. Abuse may result in immediate termination of your license.

4. Ownership & Intellectual Property

All Resources remain the exclusive intellectual property of OKDOTSTUDIO INC. This Agreement does not grant ownership rights — only a usage license. All rights not expressly granted are reserved.

5. Updates & Support

OKDOTSTUDIO INC may provide updates, enhancements, or technical support at its discretion. Availability of support and updates may vary depending on the package you purchased. We do not guarantee the delivery, timing, or frequency of future updates.

6. Disclaimer & Limitation of Liability

  • The Resources are provided “as is” without warranties of any kind — express or implied — including, but not limited to, warranties of merchantability or fitness for a particular purpose.
  • OKDOTSTUDIO INC shall not be liable for any indirect, incidental, special, consequential, or punitive damages resulting from your use or inability to use the Resources, even if advised of such possibilities.

7. Termination

This Agreement remains in effect until terminated. OKDOTSTUDIO INC reserves the right to revoke your license immediately and without notice if you breach any terms. Upon termination, you must cease all use of the Resources and delete all local and cloud-stored copies.

8. Governing Law

This Agreement is governed by the laws of the Province of British Columbia, Canada. Any disputes shall be exclusively resolved in the courts located in Vancouver, British Columbia.
