Welcome to VX.STUDIO, a digital agency operated by OKDOTSTUDIO LTD. (“VX.STUDIO”, “we”, “us”). These Terms of Service (“Terms”) govern your use of our website at https://vx.studio (the “Website”). By accessing or using the Website, you agree to be bound by these Terms. If you do not agree, do not use the Website.

1. About Us and Our Services

VX.STUDIO provides strategy, design, technology and marketing services, including:

  • Websites
  • Branding
  • Marketing
  • Custom Apps
  • AI Automations
  • E-commerce

The Website describes our services, our work and our thinking, and lets you contact us about a project. Its content is provided for general information and is not an offer to provide any service.

We no longer offer standalone templates or other digital resources for purchase. If you purchased templates or other resources from us previously, your use of them continues to be governed by our License Agreement.

2. Client Projects

a. Client Agreements

When you engage us for a project, the project is governed by a written proposal, statement of work or agreement signed by both parties (a “Client Agreement”). If a Client Agreement conflicts with these Terms, the Client Agreement prevails.

b. Enquiries

Sending an enquiry through the Website does not create a contract or a client relationship. How we handle the information you send is described in our Privacy Policy.

3. Accounts

a. Registration & Security

Certain services may require account creation. You are solely responsible for protecting your login credentials and any activity under your account.

b. Termination & Suspension

We reserve the right to suspend or terminate accounts for violations of these Terms, misuse of our services, or activity that harms the VX.STUDIO brand or users.

4. Using the Website

You agree to comply with all applicable laws and regulations in connection with your use of the Website and its content.

5. User Submissions

a. Rights & Ownership

If you submit testimonials, feedback, or other materials to OKDOTSTUDIO LTD., you retain ownership. However, by doing so, you grant us a non-exclusive, royalty-free, worldwide license to use and publish that content in connection with our services and marketing.

b. Content Responsibility

You’re responsible for ensuring your submissions are lawful, virus-free, and do not infringe on third-party rights.

6. Intellectual Property

a. Proprietary Rights

Our design systems, brand assets and Website content, and any templates or other resources we have created, remain the exclusive property of OKDOTSTUDIO LTD. You may not copy, reproduce or distribute these materials except as permitted by these Terms, a Client Agreement or, for templates or resources purchased previously, the License Agreement. Ownership of work we create for clients is governed by the relevant Client Agreement.

b. Trademarks

VX.STUDIO and associated brand elements are trademarks of OKDOTSTUDIO LTD. Unauthorized use is strictly prohibited.

7. Disclaimers & Liability

a. No Warranty

The Website and its content are provided “as is” without any warranty, express or implied. We make no promises regarding the Website’s availability, compatibility or specific outcomes. Services we provide under a Client Agreement are governed by that agreement.

b. Indemnification

You agree to defend, indemnify and hold harmless OKDOTSTUDIO LTD. from any claims, damages or legal actions resulting from your misuse of the Website or your violation of these Terms.

8. Privacy

Our Privacy Policy explains how we handle personal data, and our Cookie Policy explains the cookies and similar technologies used on the Website.

9. Changes to These Terms

We may update these Terms periodically. The most current version will always be available on this page. Your continued use of the Website after changes are posted constitutes acceptance of the updated Terms.

10. Governing Law

These Terms are governed by the laws of the Province of British Columbia, Canada. Any disputes arising from your use of the Website or our services shall be subject to the exclusive jurisdiction of the courts located in Vancouver, British Columbia.
